All meetings of the Board of Directors shall be open to the general public. However, in the event the Board of Directors decides that a portion of a meeting shall not be open to the public, the Chairperson shall declare the Board to be in executive session and shall publicly state the matters to be discussed in executive session and the reasons for the executive session. That portion of the meeting, as decided by the Board of Directors, and stated by the Chairperson shall be closed to the public.
